QS Assist Terms of Service

These Terms of Service ("Terms") govern your access to and use of QS Assist and related services provided by Quantum Spark Tech Solutions LLC ("QS Assist," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance

By accessing or using QS Assist, you agree to these Terms. If you do not agree, do not use the Services.

2. Definitions

"Services" means the QS Assist platform and related offerings.

"Customer" means the subscribing business or authorized user of the Services.

"Customer Data" includes information, recordings, transcripts, workflows, prompts, calendars, contacts, and business information uploaded, connected, or processed through the Services.

3. Eligibility

You must be at least 18 years old and have authority to act on behalf of your business or organization.

QS Assist provides AI-powered receptionist services including:

5. Accounts

You are responsible for maintaining the confidentiality of your account credentials and all activities occurring under your account.

6. Subscription, Billing & Renewal

Subscriptions renew automatically until canceled. Fees are billed in advance. Unless required by law, payments are non-refundable. Failure to pay may result in suspension or termination of Services.

7. Free Trials

Free trials may be offered with usage limits. QS Assist may change or discontinue free trials at any time.

AI-generated responses may occasionally be inaccurate, incomplete, or unexpected. Customers are responsible for reviewing configurations and should not rely solely on AI outputs for legal, medical, financial, tax, or other critical business decisions.

10. Call Forwarding & Telephony

Customers are responsible for correctly configuring business phone numbers and forwarding settings. QS Assist is not responsible for failures caused by phone carriers, forwarding configurations, or third-party telephony providers.

11. SMS, Calls & Recordings

Customers are responsible for complying with all applicable laws governing call recording, messaging, consent requirements, customer notifications, robocalls, and telecommunications regulations.

12. Customer Data

Customers retain ownership of their Customer Data. You grant QS Assist a limited license to process, store, transmit, and back up Customer Data solely for operating, securing, maintaining, and improving the Services.

13. AI Training

Unless expressly agreed otherwise, QS Assist does not use Customer Data, recordings, transcripts, or calendar information to train publicly available artificial intelligence models.

Anonymous and aggregated usage statistics may be used to improve platform performance and reliability.

14. Privacy & Security

QS Assist implements reasonable safeguards designed to protect Customer Data but cannot guarantee absolute security. Use of personal information is governed by our Privacy Policy.

Connected calendar data is accessed only as necessary to provide scheduling functionality authorized by the Customer. Calendar information is processed in accordance with our Privacy Policy and applicable provider authorization settings.

15. Third-Party Services

QS Assist integrates with third-party providers such as telephony providers, AI providers, calendar systems, CRM platforms, payment processors, and cloud infrastructure providers. Availability of these services is outside QS Assist's control, and their terms may also apply.

15A. Calendar Integrations

QS Assist may integrate with third-party calendar providers, including Google Calendar and other supported scheduling platforms.

By connecting a calendar account, the Customer authorizes QS Assist to:

Customers remain responsible for maintaining valid authorization to connected calendar services.

QS Assist is not responsible for disruptions caused by revoked permissions, expired authorizations, deleted calendars, third-party outages, user configuration errors, or actions performed directly within connected calendar systems.

Changes made directly within connected calendars may affect appointment availability, synchronization, and scheduling accuracy.

16. Acceptable Use

Customers may not use QS Assist for illegal, fraudulent, abusive, deceptive, harmful, spam-related, or otherwise unlawful activities.

17. Intellectual Property

QS Assist retains all rights, title, and interest in its software, source code, trademarks, branding, documentation, and intellectual property. Customers retain ownership of their business content and Customer Data.

18. Feedback

Any suggestions, recommendations, or feedback voluntarily provided may be used by QS Assist without restriction or compensation.

19. Availability

QS Assist strives to provide reliable and continuous service but does not guarantee uninterrupted operation. Service availability may be affected by maintenance, internet failures, cloud provider outages, telephony provider outages, calendar provider outages, software defects, cyberattacks, or events beyond our reasonable control.

20. Beta Features

Experimental or beta features may be changed, suspended, or removed at any time and are provided without warranties.

21. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QS ASSIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES.

QS ASSIST'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

23. Indemnification

Customers agree to defend, indemnify, and hold harmless QS Assist from claims arising from Customer Data, misuse of the Services, unlawful activities, or violations of these Terms.

24. Emergency Services

QS Assist is not an emergency response system and must never be relied upon for emergency communications, medical emergencies, public safety situations, law enforcement matters, or life-critical activities. Users should contact appropriate emergency services directly when necessary.

25. Suspension & Termination

QS Assist may suspend or terminate access for violations of these Terms, non-payment, security concerns, abuse, misuse, or unlawful conduct.

26. Force Majeure

QS Assist shall not be responsible for delays or failures caused by natural disasters, internet outages, cyberattacks, labor disputes, governmental actions, or failures of third-party providers.

27. Governing Law

These Terms shall be governed by the laws of the State of Florida without regard to conflict of law principles.

28. Assignment

QS Assist may assign these Terms in connection with a merger, acquisition, financing, restructuring, or sale of assets.

29. Miscellaneous

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any provision shall not constitute a waiver. These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between the parties.

30. Changes & Contact

QS Assist may update these Terms periodically. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

31. Google User Data

If a Customer connects a Google account to QS Assist, QS Assist may access Google Calendar data solely to provide appointment scheduling, availability management, booking, cancellation, and rescheduling services requested by the Customer.

QS Assist does not sell Google user data and does not use Google Calendar data to train publicly available artificial intelligence models.

Access to Google user data is limited to the permissions explicitly granted by the Customer and only to the extent necessary to operate the Services.
